Warmtech Ltd is the publisher and operator (referred to as the “Company”, “we”, “our” or “us”) of Lovescape website, namely spicierai.com (referred to as the “Website”)

Warmtech Ltd is a limited liability company, registered in the Republic of Cyprus under registration number HE 418620, having its registered office at Spyrou Kyprianou, 75, Flat/Office 102, Potamos Germasogeias, 4042, Limassol, Cyprus.

Introduction

Welcome to Spicier AI, a product of Warmtech Ltd! Spicier AI is an artificial intelligence not safe for work (AI NSFW) chat platform service that generates virtual and fictional characters (“Companions”) for interaction. Spicier AI allows users to create and interact with complex characters exhibiting human-like emotional behavior. The platform ensures complete privacy and security, offering extensive customization options for appearance, personality, and preferences, and features advanced image and voice generation tools for a realistic experience. Spicier AI operates on a subscription basis, providing various plans that include picture generation, voice messages, and unlimited chatting.

Please read these Terms of Service (“Terms”) carefully. The Terms govern your use of our Website lovescape.com and its related services (“Services”). Accessing or using our Website or its Services implies the express and unreserved acceptance of all the Terms, having the same validity and effectiveness as any contract signed by you in writing. If you do not agree with these Terms, do not access, browse or use the Website and or its Services.

These terms apply to the entire Website and any type of communication and interaction between you and Spicier AI, including the use of the Website, products or Services.

The purpose of these Terms is to establish the conditions under which You can use the Website\Services. For clarity purposes, the term “use” includes, but is not limited to, accessing, browsing through the Website or accepting its Services.

Definitions

Content: Any information or material, such as text, images, videos, audio, chat messages or other data, created, submitted, or generated by users (i.e.“User-Generated Content”) through our Website/Services. You are solely responsible for all Content you submit to the Website\Services.

Companion: An artificial (non-real person) character created using Artificial Intelligence that is programmed to engage in human-like interactions with users through messages, voices notes and other forms of communications. It can also generate other media including, but not limited to, images, videos and voice notes.

Prohibited Content: Includes illegal activities, sexualization of minors, bestiality, incest, hate speech, illegal substance use, harmful speech, content that is offensive, discriminatory, contains or promotes violence infringes on third-party rights or is otherwise prohibited by these Terms.

You / Your/User: Refers to the individual or entity using our Website/Services. If you use the Website\Services on behalf of a company or other entity then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity’s behalf.

We and/or US: refers to Spicier AI, Warmtech Ltd, this Website.

1. General

Spicier AI is an online chat service that uses artificial intelligence (“AI”) algorithms to generate virtual and fictional characters known as “Companions”. These Companions are designed to interact with users through generated messages, as well as other media such as images, videos and voice notes.

To get started on Spicier AI, users have the option to pick an existing Companion to talk to or generate their own unique Companion by customizing physical and personality characteristics. As soon as a Companion has been selected users can engage in conversation by sending text messages, while the system generates corresponding responses, including images, videos, and voice messages.

2. Account Registration

2.1 To access certain features, you must create an account. You agree to provide accurate and complete information during registration and to update your information as needed. You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access to your account.

3. Payments

3.1 Through the Website, Users will have the opportunity, by using one of the acceptable forms of payment as set forth on the Website from time to time, to subscribe, follow, tip and purchase content. All related prices and fees for each payment method will be clearly displayed on the payout page before every purchase.

3.2 In order to make a purchase, you may be asked to supply certain information to allow us to process and authorize your purchase, including, without limitation, your name, address, card number, card expiration date, card security number and other information. You represent and warrant that (i) you have the legal right to use the form of payment that you use and that (ii) the information that you are providing with that form of payment is true and correct. You acknowledge that we may use a third party for the purposes of processing or facilitating any payment and that by submitting your information to us you grant us the right to provide this information to such third parties.

3.3 We reserve the right to refuse, cancel or terminate any purchase any time and for any reason in our sole discretion. Without limiting the foregoing, we reserve the right to refuse, cancel or terminate your purchase because of product or service unavailability, errors in the description of price of our product or service and errors in your purchase.

3.4 The price for each subscription will be clearly stated on the Website and may change from time to time.

3.5 You agree not to report as fraudulent, lost or stolen any form of payment which you have used in conjunction with payment to us, for which you do not have a good faith reason to believe is in fact fraudulent, lost or stolen. You agree not to report as unauthorized any charge by us for any goods or services, for which you do not have a good faith reason to believe is in fact unauthorized. You agree that absent good faith, in the event of any such report you shall be liable to us for such charge or obligation plus an additional $100 administrative fee. The liability specified in this paragraph will not limit our rights or any other liability you may have for any other reason, including a breach of any other provision of these Terms.

3.6 Unless you choose through your account to terminate your subscription, your subscription will automatically renew at the end of each subscription term. A renewed subscription will have the same term as the immediately preceding subscription. At the time of renewal, your payment method will be charged the Subscription Fee.

Payment via Card: If the subscription was purchased using a credit or debit card, the subscription will automatically renew regardless of whether it was purchased for one month or one year. In the case of cancellation, the current month’s subscription is considered paid, and only the subsequent months’ subscriptions will be cancelled.

3.7 Your payment method will be charged based on the selected term period automatically at the end of the subscription term.

3.8 You can cancel your subscription at any time; however, the subscription will continue to be active until the already paid term comes to an end. The current month’s subscription is considered provided and cannot be cancelled, and after the of the paid term, no further payments will be taken from your payment card in respect of subscriptions.

4. Refunds

4.1 If at any time we terminate your rights to use the Website because of a breach of these Terms, you shall not be entitled to a refund. In all other respects, such fees shall be governed by additional rules, terms, conditions or agreements posted on the Website and/or imposed by any sales agent or payment processing company, as may be amended from time to time.

5. Acceptable Use

5.1 You agree to use the Website for lawful purposes only and in accordance with these Terms. You must not:

Engage in any illegal activity or violate applicable laws.
Post harmful, offensive, defamatory, or objectionable content.
Infringe intellectual property rights or other proprietary rights.
Engage in spamming, phishing, or other malicious activities.
Interfere with the proper functioning of the Service.

5.2 To ensure that the Website remains available to all users, Spicier AI may monitor network traffic to identify unauthorized attempts to upload and/or change information and/or otherwise cause damage to the Website and/or for any other reason as deemed necessary by Spicier AI. Anyone using the Website expressly consents to such monitoring.

5.3 Unauthorized attempts to modify, alter, deface, destroy, or corrupt any information stored on this Website or its system to defeat and/or circumvent any security features, to probe, scan and/or test vulnerabilities, breach security and/or authentication measures, forge TCP/IP headers, install or attempt to install unauthorized software, utilize the Website other than its intended purposes are expressly prohibited and may result in criminal conviction.

5.4 Any attempts to modify, translate, adapt, or reformat any texts, images, or voice messages generated by the AI as well as any attempts to upload own photos, videos, or voice messages for public viewing are strictly prohibited. Users may only upload an avatar photo, which will undergo content moderation and will strictly be used for the purpose of displaying a profile picture. This avatar photo shall not be used for any other purposes whatsoever.

5.5 Any possible unauthorized activity will be reported together with any evidence that may be gathered to the appropriate authorities.

6. Eligibility

6.1 To use our Website, you must be at least 18 years old. By accessing or using our website, you confirm that you meet this age requirement and have the legal capacity to enter into these Terms. Any persons under the age of 18 are not permitted to use, register for, or access the Services.

7. Intellectual Property

7.1 We retain all rights, title, and interest in the intellectual property associated with our Website and Services. This includes software, trademarks, and other proprietary information.

7.2 You retain ownership of any User-Generated Content you create but grant us a non-exclusive, worldwide, royalty-free license to use, modify, distribute, and display this content to provide and improve our Services.

7.3 You shall not sell, license, reproduce, distribute, or otherwise exploit any part of the Website or its content without the prior written consent of Spicier AI.

7.4 You shall not use any data mining, robots or similar data gathering or extraction methods in connection with the Website.

8. Privacy

8.1 Your use of the Service is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy and Cookies policy.

9. Content and Conduct

9.1 You are solely responsible for the Content you upload and/or generate and any consequences arising from it. It is strictly prohibited to submit or distribute Prohibited Content.

9.2 By submitting Content to the Services, you represent and warrant that you own all right, title and interest in and to that Content (including, without limitation, all copyrights and rights of publicity), or that you have received all necessary permissions, clearances, and authorizations in order to submit it to the Services for the uses contemplated in these Terms.

9.3 We have implemented a content moderation system to ensure compliance with our Terms or any applicable laws. This system monitors your Content related to sensitive topics, including but not limited to sexual discussions about minors, bestiality, incest, physical harm, substance use, violence and offensive speech. We therefore may access, review, screen, edit, modify and delete your Content at any time and for any reason, including to provide and develop the Services or if we think the Content violates these Terms or any applicable laws. If you attempt to request Content that violates these guidelines, you will be automatically requested to reformulate your request. Repeated violations may result in account restrictions or blocking from the site.

9.4 Spicier AI has a zero-tolerance policy regarding any content that constitutes Child Sexual Abuse Material (CSAM). The submission and/or distribution of CSAM, in any way, is strictly prohibited and will be reported to the appropriate law enforcement authorities. You acknowledge and agree that any submission of CSAM will result in immediate suspension or termination of your account, as well as legal action. We are committed to cooperating fully with law enforcement agencies to combat and prevent the distribution of CSAM on our platform. If you become aware of any such content, you are required to report it immediately to Spicier AI at help@withscape.com.

10. Disclaimer on Shared Content

10.1 By using the platform, you acknowledge and agree that any content you choose to share outside of Spicier AI is done entirely at your own risk. Once content is exported from the platform, Spicier AI bears no responsibility or liability whatsoever for its use, misuse, distribution, reproduction, or for any claims, including but not limited to copyright or other third-party rights, that may arise as a result.

10.2 You are solely and fully responsible for any consequences resulting from the external use of such content, and you agree to indemnify and hold Spicier AI harmless from any dispute, claim, or liability related thereto.

11. Prohibition on Celebrity and Public Figure Impersonation

11.1 Spicier AI is committed to preventing the unauthorized use of celebrity and public figure likenesses in our AI-generated content. As such, we strictly prohibit the creation of Companions that closely resemble any real-world celebrities and/or other public figures.

11.2 Our content moderation systems are designed to automatically detect and flag the use of celebrity names, images, or other identifying characteristics. If our systems identify such content, we will take immediate action to remove it and may suspend or terminate the user’s account at our sole discretion. Repeated violations may result in a permanent ban from the Spicier AI platform.

11.3 We reserve the right to refuse or remove any content that we believe infringes on the rights or likeness of a celebrity or public figure, even if the user claims the content is a work of fiction or parody. Users are solely responsible for ensuring their Companions and associated content do not violate this policy.

11.4 If you believe your rights have been infringed upon, please contact us immediately at help@withscape.com so that we can investigate and take appropriate action. We take intellectual property rights and publicity rights very seriously and will enforce this policy to the fullest extent permitted by law.

12. Disclaimer of Warranties and Limitation of Liability

12.1 SPICIER AI IS PROVIDED TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS AND THE USE THEREOF IS AT YOUR SOLE RISK. WE MAKE NO, AND HEREBY DISCLAIM, ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NONINFRINGEMENT, AND TITLE WITH RESPECT TO THE SPICIER AI, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

SPICIER AI SHALL NOT BE RESPONSIBLE FOR THE COMPLETENESS OR ACCURACY OF INFORMATION PROVIDED BY ITS COMPANION (AI NSFW) AND SHALL NOT ASSUME ANY LIABILITY FOR ANY OPINIONS EXPRESSED BY SUCH SOFTWARE.

WE DO NOT WARRANT THAT:

SPICIER AI (OR THE RESULTS OBTAINED FROM THE USE THEREOF) WILL BE TIMELY, ERROR-FREE, SECURE OR UNINTERRUPTED;
THE SPICIER AI MEET YOUR REQUIREMENTS; OR
THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE MATERIALS ON OUR WEBSITE, OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY RESOURCES LINKED TO OUR WEBSITE
ANY ERRORS OR MALFUNCTIONS IN THE SPICIER AI WILL BE CORRECTED.

WE SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY OR OTHER THEORY, FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES OR ANY OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, COST OF SUBSTITUTE PROCUREMENT, ARISING IN WHOLE OR IN PART FROM YOUR USE OF (OR INABILITY TO USE) THE SPICIER AI, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL WE BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ANY CAUSES BEYOND ITS REASONABLE CONTROL.

13. Changes to Terms of Service

13.1 We reserve the right to modify these Terms at any time. Any changes will take effect upon posting on our website. It is your responsibility to review these Terms periodically for updates.

14. Termination

14.1 We may terminate or restrict your access to our Website/Services at any time without prior notice for violating these Terms or engaging in unauthorized activity. Termination may result in the deletion of your Content and account information.

14.2 We reserve and retain the rights to assign, transfer or subcontract the Services to any third parties. Notice will be posted on Spicier AI and your continuing use of Spicier AI means your consent to such assignment.

15. Governing Law and Dispute Resolution

15.1 These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of laws principles.

15.2 Any disputes arising out of or in connection with these Terms shall be resolved amicably through good faith negotiations. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of Cyprus.

16. Copyright Complaints

16.1 We respect the intellectual property rights of others. You may not infringe the copyright, trademark or other proprietary informational rights of any party. We may in our sole discretion remove any Content we have reason to believe violates any of the intellectual property rights of others and may terminate your use of the Website if you submit any such Content.

16.2 REPEAT INFRINGER POLICY. AS PART OF OUR REPEAT-INFRINGEMENT POLICY, ANY USER FOR WHOSE MATERIAL WE RECEIVE THREE GOOD-FAITH AND EFFECTIVE COMPLAINTS WITHIN ANY CONTIGUOUS SIX-MONTH PERIOD WILL HAVE HIS GRANT OF USE OF THE WEBSITE TERMINATED.

16.3 Although we are not subject to United States law, we voluntarily comply with the Digital Millennium Copyright Act. Pursuant to Title 17, Section 512(c)(2) of the United States Code, if you believe that any of your copyrighted material is being infringed on the Website, we have designated an agent to receive notifications of claimed copyright infringement. 16.4 All notifications not relevant to us or ineffective under the law will receive no response or action thereupon. An effective notification of claimed infringement must be a written communication to our agent that includes substantially the following:

Identification of the copyrighted work that is believed to be infringed. Please describe the work and, where possible, include a copy or the location (e.g., a URL) of an authorized version of the work;
Identification of the material that is believed to be infringing and its location. Please describe the material and provide a URL or any other pertinent information that will allow us to locate the material on the Website;
Information that will allow us to contact you, including your address, telephone number and, if available, your email address;

17. Miscellaneous

17.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

17.2 These Terms constitute the entire agreement between you and Warmtech Ltd regarding your use of the Website and supersedes any prior agreements or understandings.

17.3 By using our Website you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Website.
